WILLIAM B. DOEPKE
Managing Director

Bill has spent his entire 30-year professional career as a financial advisor based in the Chicago market place. He has advised on strategic alternative reviews, acquisitions, mergers, divestitures, fairness opinions and both debt and equity capital raises. His clients have included a wide breadth of companies including Fortune 100, mid- and small cap public firms and a broad array of privately owned businesses.

Initially, Bill worked for The Northern Trust Company where he eventually attained responsibility for managing its largest commercial banking division. He then commenced a 13-year career at Lehman Brothers working as a managing director in its capital markets and investment banking divisions, focusing primarily on Fortune 500 and large cap clients. In 1997 he became a managing director with the investment banking group of Price Waterhouse LLP where he was tasked with building an investment banking automotive practice. Following the merger between Price Waterhouse and Coopers and Lybrand, Bill joined Ernst & Young Corporate Finance ("EYCF") and maintained his concentration on manufacturing and automotive sectors. Subsequent to the sale of EYCF to Giuliani Capital Advisors LLC in December 2005, Bill continued in an active client advisory and service role until becoming a principal at InterOcean Financial Group LLC.

While at Ernst & Young, Bill participated in the creation and execution of a comprehensive study to identify best practices for corporate development groups, encompassing all phases of a transaction life cycle, including strategic objective formation, pipeline/target development, transaction management/execution, acquisition integration and success measurement. In his role, he also facilitated numerous best practices forums with corporate development leaders in the Midwest.

Bill is a graduate of DePauw University in Greencastle, Indiana with a B.A. degree. Following college, he served three years in the U.S. Navy as a lieutenant and communications officer. He then earned a M.B.A. from DePaul University in Chicago.

MICHAEL J. GUAGENTI
Principal

During his 15-year career, Mike has advised an array of clients on a broad spectrum of strategic transactions. Prior to becoming a principal in InterOcean, Mike was a Director with the investment banking firm Giuliani Capital Advisors LLC where he was responsible for advising companies in the execution of financial transactions, including mergers and acquisitions, divestitures, debt and equity financings, fairness opinions, IPOs and distressed asset sales. His clients have included Fortune 100, mid- and small-cap public firms and a broad array of privately owned businesses.

Prior to his employment with Giuliani Capital Advisors LLC, Mike spent two years with Ernst & Young's Center for Strategic Transactions where he advised CEOs on business strategies and financial transaction alternatives to maximize shareholder value. Earlier in his career, Mike also provided transaction due diligence services and assisted with financial reporting for public transaction filings with the SEC.

Mike received a B.A. degree from Miami University (Ohio) and a M.B.A. from the University of Chicago, with concentrations in finance and entrepreneurship. Mike is also a Certified Public Accountant. He currently serves on the Board of Education for School District 102 in LaGrange, Illinois and is a member of the Metal Service Center Institute.

JOSEPH J. RANSDELL
Managing Director

As an entrepreneur over the past 15 years, Joe has co-founded and developed multiple franchise development companies including Blockbuster Video, Boston Chicken and Kenny Rogers Roasters restaurants. His duties included overseeing real estate site development, company operations and corporate finance.

In the past five years, Joe has developed service firms in the equipment maintenance field, Oxford Risk Management and Excel Management Services. Oxford was a registered insurance firm that represented the country's largest HVAC/refrigeration extended service agreement provider. Excel is a nationwide vendor management company dedicated to facility maintenance. Clients have included General Electric, Safeway Supermarkets and Delta Airlines.

In the late 1980s, Joe co-founded a boutique investment banking firm, Altgeld Capital Group, that specialized in private equity and tax shelter offerings. From 1978 to 1986, Joe was in the commercial banking business. He was the Executive Vice President of the Chicago Bank of Commerce for several years. His early bank training was with Continental Illinois National Bank.

Joe holds a M.B.A. from Loyola University of Chicago and a B.S. degree from the University of Kentucky.

THOMAS B. RATERMAN
Chairman - IOS

Tom has 25 years of corporate finance, commercial banking and investment banking experience with major financial institutions and rapidly growing entrepreneurial companies. Tom has considerable affinity and experience in the areas of concept roll-ups and rollouts, start-ups and handling complex transactions. Tom utilizes his substantial experience in corporate finance, banking, capital raising and mergers and acquisitions in both InterOcean's intermediary and principal investing activities.

Tom's experience includes principal activities at Flynn Enterprises, Inc., a Chicago-based private equity, venture capital and consulting group. As part of these principal activities, Tom also held executive positions at several of the portfolio companies. Most recently, as Chief Financial Officer and later Executive Vice President and Region Manager of LKQ Corporation, Tom co-founded, helped develop, finance and operate what is North America's largest automobile recycler and used OEM parts distributor. During his tenure, the Company completed 31 acquisitions and grew to $225 million in revenue. Today LKQ Corporation is publicly traded (FINRAAQ: LKQX) with market capitalization in excess of $1.25 billion. From 1993 to its sale in 1995, Tom also acted as Vice President of International Development and Treasurer for Discovery Zone, Inc. Other Flynn private equity investments included those in a variety of multi-unit retail, consumer service and franchise and technology enterprises. From 1981 to 1993 Tom held positions of increasing responsibility with GE Capital, Continental Bank and Security Pacific Bank.

Tom holds a B.S. degree in finance and management from Miami University (Ohio) and a Masters of Management with a concentration in finance from Northwestern University, J. L. Kellogg Graduate School of Management.

ROBERT P. WUJTOWICZ
Managing Director

Bob advises clients on mergers, acquisitions, divestitures and debt and/or equity financings. He has more than 30 years experience in corporate finance, corporate development and public finance. Before joining InterOcean, Bob was with the investment banking firm Giuilani Capital Advisors LLC and Ernst & Young's corporate finance group. He previously served as a corporate finance officer for Continental Bank in Chicago and served in corporate development and public finance positions with two Chicago-based corporations.

He holds a B.A. degree from Regis University, a M.A. degree in Public Policy from the University of Chicago, and a M.B.A. in finance from Loyola University of Chicago. Bob acts as an instructor for several continuing professional education programs, lecturing on such topics as valuation theory, financing alternatives and the impact of China's development on U.S. manufacturing. He has authored articles in several publications including Mergers & Acquisitions and Profit Line. He is a member of the Association for Corporate Growth, the Turnaround Management Association and the Metal Service Center Institute and serves on the Editorial Board of Forward Magazine, MSCI's bi-monthly publication

TIMOTHY J BROSZ
Managing Director

Tim brings more than 25 years of general management, venture capital and management consulting experience to InterOcean.

Tim began his career at Northwest Airlines, Inc. as an internal auditor for operations in North America, Europe and Asia. He then joined The Quaker Oats Co. in 1983 and was brand manager of the Pet Food Division's key strategic and financial brand, Gravy Train and provided leadership for several other division brands. Tim was also one of the original company acquisition/brand members for Quaker's flagship business, Gatorade.

From 1988 to 1996, Tim was a vice president and partner with The Cerulean Fund(s) L.P., a seed capital fund serving the Chicago area, and was responsible for investing and operating activities. He also served in an operating capacity with several major portfolio companies, most notably as president of a medical device company and as executive vice president of an entertainment company where he led the M & A and IPO efforts.

Since 1997 Tim has been a partner with two boutique, strategy consultancies: Louden & Co., dedicated to the health care industry, and The Arbor Strategy Group, which primarily serves the consumer industry. He has led the development of corporate strategy and market/product launch strategies for numerous Fortune 100 and early-stage, venture capital-backed companies.

He earned a B.S. degree from the University of Minnesota and a M.B.A. with highest honors from Indiana University.
